Upgrade vCenter Server 4.x to vCenter Server 5.0 on the same machine if the vCenter Server 4.x instance is on a 64-bit machine.
This procedure requires downtime for the vCenter Server that you are upgrading. You do not need to turn off virtual machines.
If an earlier version of vCenter Server is on your machine, the vCenter Server installer detects and upgrades it. If the upgrade fails, no automatic rollback occurs to the previous vCenter Server version.
In-place upgrade to vCenter 5.0 is not supported on Microsoft Windows XP.

Key statement in the question “An administrator has deployed a vCenter Server”. If we suppose that the administrator has deployed a vCenter server over an existing vCenter server, shouldn’t he had developed the plan for the major upgrades before doing so since the risks are major.
Alternatively, the administrator may deploy a new vCenter server and import the information from the existing vCenter Server to mitigate all risks.
B is correct because it protects you if something bad happens

The difference comes down to ‘Server’ or ‘Appliance’.
If it’s a server, in-place is the proper upgrade method.
If it’s an appliance, you need to install new and import the config.
Wish VMware wouldn’t have chosen such poorly worded questions.
